Billing cycle
MSA §2

Monthly Service Fee billed in advance on the 15th, via ACH (or other authorized method).

Onboarding payment
SOW §3

Prorated Service Fee for the partial month between SOW execution and the next 15th. Charged within 3 business days of signing.

Cancellation
MSA §5

30 days' written notice for convenience. Full monthly Service Fee owed for the termination month (no proration), plus committed costs.

Late fees
MSA §2

Greater of $100 per invoice or 1.5% per month, compounded monthly. Suspension possible on the first of the following month.

IP transfer
MSA §3

"Work made for hire" on full payment for the relevant SOW. Pre-existing tools remain sourceBOLD's.

Non-solicit
MSA §4

12 months post-termination. Breach fee = 12× last monthly Service Fee for that developer, payable as liquidated damages.

Funding contingency
IC §2

Developers paid only after client invoice settles. If 30+ days past developer payment date, developer may terminate their engagement.

Governing law
MSA §9

State of Utah. Exclusive jurisdiction in Utah state and federal courts.

What people ask before signing.

No platform fee. The only first-month charge is the Onboarding Payment — a prorated Service Fee for the partial month between your SOW Effective Date and the next month. Charged within three business days of SOW execution. Regular monthly billing then begins on the next 15th.
