Monthly Service Fee billed in advance on the 15th, via ACH (or other authorized method).
Prorated Service Fee covering the period from the SOW Effective Date to the first full invoiced month. Due on signing. If the Effective Date falls after the 15th, that period also includes the following full month.
30 days' written notice for convenience. We refund, prorated by calendar day, any part of a Service Fee already collected that covers the period after the Termination Date. No charge at all for a month beginning on or after that date, and anything already collected for one is refunded within 30 days, including the unearned part of an onboarding payment.
2% per month on the unpaid amount, not compounded. A Service Fee starts accruing on the first day of the period it covers, or its due date if that is later; any other invoice, including an expense reimbursement, starts 15 days after its due date. If a Service Fee is unpaid on the first day of the period it covers, services and developer access are suspended from that day, across any or all SOWs.
Everything a developer creates for you under an SOW is yours as it is created — no payment condition. Each developer agreement assigns it to your company by name and lets you enforce that directly. Pre-existing tools stay with sourceBOLD, licensed to you permanently and royalty-free where they are built into your work product.
During the engagement and for 12 months after the MSA ends. Breach fee = 12× the highest monthly Service Fee paid or payable for that developer, as liquidated damages.
Developers are paid only after the client invoice funding them settles. If an engagement is suspended for non-payment for more than 30 days, either side may end it.
