1. What these terms cover
These Terms of Service (the “Terms”) govern your use of sourcebold.com (the “Site”) — including browsing the public pages, submitting the contact form, and submitting the “Get started” inquiry form. By using the Site, you agree to these Terms.
sourceBOLD is a trade name of Proovn LLC, a Utah limited liability company. References to “sourceBOLD,” “we,” “us,” or “our” in these Terms mean Proovn LLC.
These Terms do not govern the paid contractor-engagement service. That service is governed by separate written agreements signed before any work begins: a Master Services Agreement (“MSA”) and an SOW with each client; an Independent Contractor Agreement with each placed developer; and an Independent Recruiter Agreement with each recruiter. If a conflict arises between these Terms and any of those signed agreements, the signed agreement controls for matters within its scope.
2. Eligibility and the paid engagement
You must be at least 18 years old to use the Site or the portal. If you use them on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.
sourceBOLD is invite-only. Submitting the contact form or the “Get started” inquiry form does not create an engagement, give rise to a contractual relationship for sourcing services, or obligate either party to enter into an MSA. Until an MSA is executed, you are using the Site as a prospective client only.
3. Account access and portal use
The portal at /portal is restricted to users with active accounts created by sourceBOLD. We do not offer public account creation through the Site; the Sign in page is the entry point for existing users only.
If we issue you portal access, you are responsible for keeping your credentials confidential and for activity under your account, and you agree to enable and maintain the multi-factor authentication we require. Notify us promptly at admin@sourcebold.com of any unauthorized access to, or suspected compromise of, your account.
Use the portal only for your own legitimate business purpose in connection with a sourceBOLD engagement. Do not share, resell, or transfer your access; do not access or use data you are not authorized to; and do not upload malware or content you do not have the right to provide. We may suspend or revoke portal access at any time — for example, for a violation of these Terms, a security concern, or the end of an engagement.
4. Acceptable use
You agree not to:
- Use the Site or its forms to send unsolicited commercial messages, harvest data, or impersonate another person or organization.
- Probe, scan, or test the vulnerability of the Site or any related system without prior written authorization.
- Interfere with the Site’s operation, attempt to bypass authentication, or use automated means to scrape content at scale.
- Reverse-engineer, decompile, or extract the source code of any client- or server-side component of the Site beyond what is required for normal browser operation.
- Use the Site in a way that violates any applicable law, including U.S. federal, state, or local law.
5. Information and content you submit
When you submit information through the contact form or the “Get started” modal — including your name, email, company, the role you’re seeking, and your message — you grant sourceBOLD permission to use that information to respond to your inquiry, qualify your interest in our services, and contact you about that inquiry. We will not share your submitted information with parties outside sourceBOLD except as described in our Privacy Policy.
If you use the portal, you may submit or upload additional information and content — which can include information about other people (for example, candidate details, identity documents, or tax forms). You grant sourceBOLD a license to use that content to provide and operate the service, and you represent that you have the right and any necessary authorization or consent to provide it, that it is accurate to the best of your knowledge, and that it does not infringe or violate any third-party rights.
6. Intellectual property
The Site, including its content, visual design, text, code, and the “sourceBOLD” name and marks, is owned by sourceBOLD and protected by applicable intellectual-property laws. You may view the Site for the purpose of evaluating sourceBOLD’s services. You may not reproduce, republish, modify, or create derivative works from the Site’s content without prior written permission, except for ordinary browser caching and personal note-taking.
7. Third-party links and services
The Site and portal rely on third-party services and may link to their pages — for example, Stripe for billing, Wise and other providers for cross-border payouts, Cloudflare’s Turnstile challenge on our forms, and Resend for email delivery. sourceBOLD does not control those services and is not responsible for their content, accuracy, or privacy practices. When you follow a link off-site, you are subject to that site’s own terms and policies. The subprocessors we use to handle personal data are listed in our Privacy Policy.
8. Disclaimers
The Site is provided “as is” and “as available.” sourceBOLD makes no warranties, express or implied, regarding the Site’s accuracy, uptime, fitness for a particular purpose, or non-infringement, except where such disclaimers are prohibited by applicable law. Marketing claims about the contractor-engagement service (e.g., timelines, acceptance rates, payout schedules) are illustrative descriptions of how the service typically runs and are not guarantees of any particular result; the binding terms of any engagement are set in the MSA and SOW for that engagement.
9. Limitation of liability
To the maximum extent permitted by applicable law, sourceBOLD is not liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to your use of the Site, including lost profits, lost data, or business interruption, even if sourceBOLD has been advised of the possibility of such damages. sourceBOLD’s total aggregate liability for any claim related to the Site (excluding the paid service governed by the MSA) is limited to one hundred U.S. dollars (US$100).
10. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless sourceBOLD and its officers, members, and employees from any third-party claim, loss, or expense (including reasonable attorneys’ fees) arising out of your misuse of the Site or portal, your violation of these Terms or applicable law, or any information or content you submit or upload that you did not have the right to provide.
11. Changes to these terms
sourceBOLD may update these Terms from time to time. When we do, we’ll update the “Last updated” date at the top of this page. Material changes will be highlighted with prominent notice on the Site for a reasonable period. Your continued use of the Site after the change indicates acceptance of the updated Terms.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.
Agreement to arbitrate. You and sourceBOLD agree that any dispute arising out of or relating to these Terms or your use of the Site or portal will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, seated in Utah — not in court. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. This arbitration agreement does not apply to disputes governed by a signed MSA, SOW, Independent Contractor Agreement, or Independent Recruiter Agreement, which are resolved as those agreements provide.
No class actions; jury waiver. Disputes will be arbitrated only on an individual basis. You and sourceBOLD waive any right to a jury trial and any right to bring or participate in a class, collective, or representative action. If this class-action waiver is held unenforceable as to a particular claim, that claim — and only that claim — will proceed in court.
30-day opt-out. You may opt out of this arbitration agreement by emailing admin@sourcebold.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
For any dispute not subject to arbitration, you and sourceBOLD consent to the exclusive jurisdiction of the state and federal courts located in Utah.
13. General
These Terms, together with our Privacy Policy, are the entire agreement between you and sourceBOLD regarding the Site and portal, and supersede any prior understandings on that subject. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will stay in effect. sourceBOLD may assign these Terms in connection with a merger, acquisition, financing, or sale of assets; you may not assign them without our prior written consent. Our failure to enforce a provision is not a waiver of it. Neither party is responsible for delays or failures caused by events beyond its reasonable control. Provisions that by their nature should survive — including Sections 5, 6, 8, 9, 10, and 12 — survive termination of your access.
